Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mirai Capital Technologies, Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of the Mirai platform, website located at miraicopilot.com, and all associated services (collectively, the "Service").

By registering for a waitlist spot, creating an account, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

• You must be at least 18 years of age to use the Service.
• You must have the legal capacity to enter into a binding contract in your jurisdiction.
• The Service is not available to users where prohibited by applicable law.
• By using the Service you represent and warrant that you meet all eligibility requirements.

• All content, data, analysis, AI-generated insights, signals, and tools provided through the Service are for informational and educational purposes only and do not constitute investment advice, financial advice, trading advice, or any other type of advice.
• Nothing in the Service should be construed as a recommendation or solicitation to buy, sell, or hold any security, financial instrument, or investment product.
• Past performance is not indicative of future results. All investing involves risk, including the possible loss of your entire principal.
• AI-generated analysis and signals are provided "as is" without any guarantee of accuracy or completeness.
• You are solely responsible for all investment decisions you make. You should consult a qualified, licensed financial advisor before making any investment decision.
• Mirai Capital Technologies, Inc. is not liable for any financial loss, trading loss, or other damages that may result from your reliance on information provided through the Service.
• AI-generated content is experimental and may be inaccurate. Do not make financial decisions based solely on AI outputs from the Service.

You agree to use the Service only for lawful purposes. You must not:

• Violate any applicable local, state, national, or international law or regulation.
• Attempt to gain unauthorized access to any part of the Service, server, or network.
• Use automated tools (bots, scrapers, crawlers) to access the Service without express written permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service to transmit any unsolicited communications, spam, or malicious code.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the Service for any fraudulent, deceptive, or manipulative market activity.
• Share your account credentials with any third party.

The Service is currently offered as an Early Access Beta. As such:

• The Service may contain bugs, errors, and incomplete features.
• Features, pricing, and benefits are subject to change at any time without prior notice.
• Early access pricing or benefits do not constitute a binding commitment by Mirai.
• Waitlist position does not guarantee immediate or future access to the Service.
• We may suspend, limit, or terminate your access at any time for any reason.
• Beta users acknowledge they are using pre-release software and assume all associated risks.

The Service and all of its original content, features, algorithms, AI models, design, code, trademarks, and functionality are and remain the exclusive property of Mirai Capital Technologies, Inc. and its licensors. These are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Service without our prior written consent.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

You retain ownership of any financial data you input into the Service. You grant Mirai Capital Technologies, Inc. a limited, non-exclusive license to use this data solely to provide and improve the Service. We will not sell your personal data to third parties.

• Current beta access is provided free of charge. Paid plans may be introduced in the future.
• Any future subscription fees will be disclosed clearly before you are charged.
• Subscriptions may be cancelled at any time. Refunds are not provided for partial billing periods unless required by applicable law.
• Mirai reserves the right to change pricing with reasonable advance notice to existing subscribers.
• Any promotional or beta pricing is not guaranteed to continue beyond the stated period.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIRAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.

Mirai does not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. Market data and AI analysis may contain errors and should not be relied upon as the sole basis for any financial decision.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRAI CAPITAL TECHNOLOGIES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Investment losses or trading losses of any kind
• Loss of business or goodwill
• Personal or property damage arising from reliance on Service content
• Unauthorized access to or alteration of your data

In no event shall Mirai Capital Technologies, Inc.'s total aggregate liability to you for all claims exceed the greater of $100 USD or the total amounts you have paid to Mirai Capital Technologies, Inc. in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

You agree to defend, indemnify, and hold harmless Mirai Capital Technologies, Inc. and its officers, directors, employees, agents, successors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) any investment or financial decisions you make based on Service content; (d) your violation of any applicable law or regulation; or (e) any third-party claims arising from your use of the Service.

These Terms are governed by the laws of the State of Delaware, United States (the state of incorporation of Mirai Capital Technologies, Inc.), without regard to its conflict of law provisions.

Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek emergency injunctive relief in a court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Mirai.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email (if you have provided one) or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Mirai Capital Technologies, Inc. regarding the Service and supersede all prior agreements.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
